Introduction

These Terms and Conditions govern all purchases, orders, and business relationships between Synergy Selection Limited ("we", "us", "our") and our customers ("Buyer", "you", "your").

By placing an order, creating an account, purchasing products, or entering into a business relationship with Synergy Selection Limited, you agree to be legally bound by these Terms and Conditions.

These Terms apply to all transactions unless otherwise agreed in writing by an authorised representative of Synergy Selection Limited.

Our Privacy Policy and Cookie Policy form part of these Terms and Conditions.

We reserve the right to update these Terms and Conditions from time to time. Any changes will apply to future orders and transactions made after the updated terms are published.

Business Customers Only

Synergy Selection Limited supplies products on a business-to-business (B2B) basis.

By purchasing from us, you confirm that:

  • You are acting for business purposes only;
  • You are not purchasing products as a consumer;
  • The products purchased are intended for resale, commercial use, or business purposes;
  • All information provided during registration and ordering is accurate and complete.

We reserve the right to refuse or cancel orders where we reasonably believe a customer is purchasing outside of a legitimate business capacity.

Customers purchasing for resale are responsible for ensuring compliance with all applicable laws, regulations and marketplace requirements in their intended sales channels.

Orders and Acceptance

All orders placed with Synergy Selection Limited are subject to acceptance and availability.

Submitting an order does not automatically create a binding contract. A contract is formed once:

  • We confirm acceptance of your order; or
  • Products are dispatched; or
  • Payment has been received and accepted.

We reserve the right to refuse or cancel orders where:

  • Products are unavailable;
  • Pricing errors have occurred;
  • Fraud or suspicious activity is suspected;
  • Customer information cannot be verified;
  • The order does not meet our commercial requirements.

If an order is cancelled after payment has been received, any applicable refund will be processed within a reasonable timeframe.

Account Information and Verification

Customers must provide accurate business information, including where applicable:

  • Company name;
  • Company registration details;
  • VAT registration details;
  • Billing and delivery addresses;
  • Contact information;
  • Payment details.

We may carry out verification checks to confirm:

  • Business identity;
  • Trading status;
  • VAT registration;
  • Creditworthiness;
  • Fraud prevention requirements.

Customers agree to provide supporting documentation where reasonably required.

Providing inaccurate, misleading, or fraudulent information may result in:

  • Account suspension;
  • Cancellation of orders;
  • Withdrawal of payment terms;
  • Immediate payment becoming due for outstanding balances.

Payment Terms

Unless otherwise agreed in writing, payment must be made in full before goods are dispatched.

Accepted payment methods may include:

  • Bank transfer;
  • Approved payment providers;
  • Other payment methods offered by Synergy Selection Limited.

Where credit terms have been approved:

  • Payment must be made within the agreed payment period;
  • Failure to pay by the due date may result in account suspension;
  • Future orders may require payment in advance.

Late payments may result in:

  • Interest being charged in accordance with the Late Payment of Commercial Debts (Interest) Act 1998;
  • Recovery of reasonable costs associated with recovering outstanding debts;
  • Suspension of further deliveries.

All payments must be made without deduction, withholding, counterclaim or set-off unless required by law.

Credit Checks and Payment Verification

Where credit facilities or deferred payment terms are requested, Synergy Selection Limited may carry out appropriate checks including:

  • Credit reference checks;
  • Fraud prevention checks;
  • Business verification checks;
  • Trading history reviews.

We reserve the right to:

  • Refuse credit facilities;
  • Reduce credit limits;
  • Withdraw payment terms;
  • Request additional security or payment arrangements.

Product Prices

All product prices displayed or quoted by Synergy Selection Limited are subject to change.

Unless stated otherwise:

  • Prices exclude VAT;
  • VAT will be charged where legally applicable;
  • Delivery charges may apply;
  • Prices are confirmed at the point of order acceptance.

We reserve the right to amend pricing where:

  • Supplier costs increase;
  • Market conditions materially change;
  • Pricing errors occur;
  • External factors beyond our control affect costs.

If a pricing error occurs, we will contact you before processing the order.

Product Availability

All products are subject to availability.

We aim to maintain accurate stock information; however:

  • Stock availability may change without notice;
  • Products may become unavailable after ordering;
  • Substitutions may only be made with customer approval.

Where products are unavailable, we may:

  • Cancel affected items;
  • Provide a refund;
  • Offer alternative products where appropriate.

Product Information

Product descriptions, images, specifications and other information are provided for guidance purposes.

While we make reasonable efforts to ensure accuracy:

  • Images may be for illustration purposes only;
  • Packaging may vary due to manufacturer updates;
  • Product specifications may change;
  • Minor differences may occur between images and delivered products.

Customers are responsible for ensuring products are suitable for their intended resale market and comply with applicable regulations.

Delivery and Shipping

Synergy Selection Limited will arrange delivery of goods using appropriate courier, freight or logistics providers.

Delivery times provided are estimates only and are not guaranteed unless expressly agreed in writing.

We will make reasonable efforts to ensure orders are dispatched within the expected timeframe; however, we are not responsible for delays caused by:

  • Courier or logistics providers;
  • Customs delays;
  • Import restrictions;
  • Weather conditions;
  • Industrial disputes;
  • Events outside of our reasonable control.

The Buyer is responsible for providing accurate delivery information, including:

  • Delivery address;
  • Contact details;
  • Any required delivery instructions.

Any additional costs caused by incorrect delivery information provided by the Buyer may be charged to the Buyer.

Delivery Acceptance and Inspection

The Buyer must inspect goods upon delivery.

The Buyer must notify Synergy Selection Limited within a reasonable period if:

  • Goods are damaged;
  • Goods are missing;
  • Goods received differ materially from the order.

Failure to notify us within the required timeframe may affect our ability to investigate and resolve the issue.

Where delivery damage is claimed, the Buyer may be required to provide:

  • Photographs;
  • Packaging evidence;
  • Delivery documentation;
  • Other supporting information reasonably requested.

Risk and Ownership of Goods

Risk in the goods passes to the Buyer once:

  • Goods have been delivered to the agreed delivery address; or
  • Goods have been collected by the Buyer or their appointed carrier.

The Buyer is responsible for the goods once risk has transferred.

Legal ownership of the goods remains with Synergy Selection Limited until:

  • Full payment has been received in cleared funds; and
  • All outstanding amounts owed by the Buyer have been paid.

Until ownership transfers:

  • The Buyer must store the goods separately where reasonably possible;
  • The Buyer must not remove, alter or damage product identification markings;
  • The Buyer must not sell goods outside normal business operations if payment obligations remain overdue.

If payment is not received when due, Synergy Selection Limited reserves the right to recover goods for which ownership has not transferred.

Resale and Third-Party Marketplace Compliance

The Buyer is solely responsible for ensuring that products purchased from Synergy Selection Limited are suitable for their intended resale channels and comply with all applicable laws, regulations and marketplace requirements.

This includes, but is not limited to:

  • Compliance with the policies, rules and requirements of online marketplaces such as Amazon, eBay, Walmart, TikTok Shop, OnBuy, Etsy and any other third-party sales platform;
  • Product listing requirements;
  • Product labelling and packaging requirements;
  • Import and export requirements;
  • Consumer protection legislation;
  • Product safety regulations;
  • Any documentation or compliance requirements imposed by the resale platform.

The Buyer must not:

  • Misrepresent any product;
  • Alter or tamper with product packaging or manufacturer information;
  • Remove manufacturer markings, batch codes or serial numbers where prohibited;
  • Make false or misleading claims regarding any product.

Once products have been purchased from Synergy Selection Limited, the Buyer accepts full responsibility for all resale activities and any consequences arising from the resale of those products.

Synergy Selection Limited is not responsible for, and accepts no liability in relation to:

  • The Buyer's ability to sell products on any third-party marketplace;
  • Marketplace suspensions, account restrictions, listing removals, ASIN restrictions, ungating requirements or policy enforcement decisions;
  • Requests for invoices, supply chain documentation, letters of authorisation, authenticity documentation or any other documentation required by a third-party marketplace after the sale has been completed;
  • Any claims, investigations, account health issues, product removals or enforcement actions initiated by Amazon, eBay or any other marketplace.

Unless expressly agreed in writing before the sale, Synergy Selection Limited is under no obligation to provide additional supply chain documentation, supplier information, manufacturer details, invoices from upstream suppliers, letters of authorisation, brand approvals or any other documentation to support the Buyer's resale activities on third-party marketplaces.

The Buyer acknowledges that purchasing products for resale on Amazon, eBay or any other third-party platform is undertaken entirely at the Buyer's own risk. It is the Buyer's responsibility to ensure they have obtained all approvals, permissions and documentation required by the relevant marketplace before purchasing products from Synergy Selection Limited.

Nothing in this clause excludes or limits any liability that cannot lawfully be excluded under the laws of England and Wales.

Returns and Refunds

All sales made by Synergy Selection Limited are to business customers only and are considered final unless otherwise agreed by us in writing.

Returns, exchanges or refunds will only be accepted where:

  • Synergy Selection Limited has provided prior written authorisation for the return; or
  • The goods are faulty, damaged upon delivery, or materially not as described, and the Buyer has notified us within the applicable notification period.

We do not accept returns, exchanges or refunds for:

  • Change of mind;
  • The Buyer ordering the wrong products, quantities or variants;
  • Products that are no longer required by the Buyer;
  • Products that cannot be resold by the Buyer on Amazon, eBay, Walmart, TikTok Shop, Etsy, OnBuy or any other third-party marketplace;
  • Marketplace restrictions, account suspensions, listing removals, ungating requirements, policy changes or enforcement actions by any third-party platform;
  • Claims that cannot be substantiated with reasonable evidence;
  • Opened, used, altered or damaged products after delivery;
  • Products not returned in their original, unopened and resalable condition (where a return has been authorised);
  • Clearance, promotional, special-order or non-returnable products.

The Buyer is responsible for ensuring that products are suitable for their intended resale channel before placing an order. Synergy Selection Limited is not responsible for the Buyer's ability to resell products on any third-party marketplace.

Where a return has been authorised, the Buyer is responsible for the cost and risk of returning the goods unless the return is due to an error by Synergy Selection Limited or the goods were delivered faulty or materially not as described.

Synergy Selection Limited reserves the right to inspect all returned goods before approving any refund, replacement or credit. Refunds, replacements or credit notes will only be issued where we determine that the claim is valid.

We reserve the right to reject any return or refund request where we reasonably believe that:

  • The claim is false, misleading or fraudulent;
  • The goods have been used, altered or damaged after delivery;
  • The Buyer has failed to comply with these Terms and Conditions or our returns procedure;
  • The return request falls outside the circumstances in which returns are accepted under these Terms.

Nothing in this clause limits or excludes any rights or remedies that the Buyer may have under applicable law where such rights cannot legally be excluded or restricted.

Claims for Damaged, Missing or Incorrect Goods

Any claim relating to:

  • Damaged goods;
  • Missing items;
  • Incorrect products supplied;

must be reported to Synergy Selection Limited as soon as reasonably possible after delivery.

The Buyer must provide sufficient evidence to allow investigation.

We reserve the right to:

  • Request additional evidence;
  • Reject unsupported claims;
  • Offer replacement products, credit notes or refunds where appropriate.

Any resolution provided will be determined based on the circumstances of the individual claim.

Payment Disputes and Chargebacks

The Buyer agrees to contact Synergy Selection Limited directly to resolve any payment or order issues before initiating a chargeback or payment dispute.

Unauthorised chargebacks or payment reversals may result in:

  • Account suspension;
  • Recovery action;
  • Cancellation of outstanding orders;
  • Additional costs being charged where legally permitted.

This does not affect any statutory rights available to the Buyer.

Account Suspension and Termination

Synergy Selection Limited reserves the right to suspend or terminate customer accounts where we reasonably believe that:

  • These Terms have been breached;
  • Fraudulent activity has occurred;
  • Incorrect information has been provided;
  • Payments are overdue;
  • The account creates a commercial or legal risk.

Suspension or termination does not remove any outstanding payment obligations.

Any unpaid balances remain immediately due and payable.

Insolvency and Financial Difficulty

If the Buyer:

  • Becomes insolvent;
  • Enters administration, liquidation or bankruptcy;
  • Has a winding-up petition issued;
  • Ceases trading;
  • Has serious concerns regarding its ability to pay debts;

Synergy Selection Limited may:

  • Suspend further deliveries;
  • Cancel outstanding orders;
  • Require immediate payment of outstanding balances;
  • Exercise any rights available under applicable UK law.

Force Majeure

Synergy Selection Limited will not be liable for failure or delay in performing obligations where caused by events outside our reasonable control.

Such events may include:

  • Natural disasters;
  • Fire;
  • Flood;
  • Severe weather;
  • Government restrictions;
  • Changes in legislation;
  • War or civil unrest;
  • Industrial disputes;
  • Supply chain disruption;
  • Transport failures;
  • Supplier shortages;
  • Pandemics or public health emergencies.

Where a force majeure event occurs, we will take reasonable steps to minimise disruption.

Confidentiality

Both parties agree to protect confidential information obtained during their business relationship.

Confidential information may include:

  • Pricing information;
  • Supplier details;
  • Commercial agreements;
  • Customer information;
  • Business processes;
  • Non-public documentation.

Neither party may disclose confidential information to third parties without prior written consent, except where disclosure is required by law.

This obligation continues after termination of the business relationship.

Intellectual Property

All intellectual property belonging to Synergy Selection Limited, including:

  • Website content;
  • Branding;
  • Logos;
  • Marketing materials;
  • Business documents;

remains the property of Synergy Selection Limited unless otherwise stated.

The Buyer must not copy, reproduce or use our intellectual property without written permission.

Product trademarks and intellectual property remain the property of their respective brand owners.

Limitation of Liability

Nothing in these Terms limits or excludes liability where such exclusion is prohibited by law.

Subject to this, Synergy Selection Limited shall not be liable for:

  • Indirect losses;
  • Loss of profits;
  • Loss of business opportunities;
  • Loss of reputation;
  • Consequential losses.

Our total liability arising from any transaction shall not exceed the value of the relevant order giving rise to the claim.

We are not responsible for losses caused by:

  • Incorrect information provided by the Buyer;
  • Failure by the Buyer to comply with applicable laws;
  • Incorrect resale practices;
  • Marketplace policy breaches;
  • Misuse of products.

Indemnity

The Buyer agrees to indemnify Synergy Selection Limited against losses, claims, damages, costs or expenses arising from:

  • Breach of these Terms;
  • Incorrect information provided by the Buyer;
  • Illegal resale activity;
  • Misuse of products;
  • Failure to comply with applicable laws or regulations.

Communications

All communications between Synergy Selection Limited and the Buyer may take place through:

  • Email;
  • Telephone;
  • Business communication platforms;
  • Customer account systems.

The Buyer is responsible for ensuring contact details provided to us remain accurate.

Assignment

Synergy Selection Limited may transfer or assign its rights and obligations under these Terms to another company or entity where reasonably necessary for business purposes.

The Buyer may not transfer its rights or obligations without prior written approval from Synergy Selection Limited.

Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions will continue to apply.

Entire Agreement

These Terms, together with any written agreements, invoices and order confirmations issued by Synergy Selection Limited, represent the entire agreement between the parties.

Any terms provided by the Buyer will not apply unless expressly accepted in writing by Synergy Selection Limited.

Governing Law and Jurisdiction

These Terms and any disputes arising from them are governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to resolve any disputes relating to these Terms, except where mandatory legal provisions require otherwise.
